Issue of Equity

On 15 June 2012 Troy Income & Growth Trust plc issued 100,000 Ordinary shares of 25 pence from its blocklisting facility at a price of 53.85 pence per share.

Following this issue, the Company has the ability to issue a further 14,900,000 ordinary shares under its blocklisting facility.

The Company's issued share capital now consists of 153,725,039 Ordinary shares, and there are no shares held in Treasury.  Therefore, the total number of shares with voting rights in Troy Income & Growth Trust plc is 153,725,039.

The above figure (153,725,039) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Troy Income & Growth Trust plc under the FSA's Disclosure and Transparency Rules.
