Re: Amended and Restated Drawdown Deed dated 21 January 2010 (the Amended and Restated Drawdown Deed)
The Issuer wishes to advise that it has received Noteholder consent to make the following changes to the structure of the Notes, each of which will have retrospective effect as of 27 February 2009.
(i) The existing recovery swap is to be terminated and replaced with a single name sovereign credit default swap referencing the Kingdom of Sweden;
(ii) The Scheduled Maturity Date of the Notes will be extended from 20 December 2016 to 20 June 2019; and
(iii) Such ancillary amendments to the terms and conditions of the Notes which were consequential to the amendments set out in (i) and (ii) above including but not limited to amendments to (A) the interest provisions and (B) the collateral asset provisions, as detailed more fully in the Amended and Restated Drawdown Deed.
In light of the above changes the description of the Notes will be amended to
"Series 2006-12 EUR30,000,000 Sovereign Credit Linked Notes due 2019. ISIN : XS0279388093"
Each of the Issuer, Trustee and the other Transaction Counterparties have entered into the Amended and Restated Drawdown Deed. All capitalised terms used here and not defined have the meaning ascribed to such terms in the Amended and Restated Drawdown Deed.
