Transfer of shares held in treasury

Micro Focus International plc announces that participants in the Company's employee share schemes have exercised options over 10,327 ordinary shares of 10 pence each at a price of 202 pence per share. These shares, all formerly held as treasury shares, were transferred to the participants on 11 October 2011.

Following the above transfer of shares out of treasury, the Company confirms that its issued share capital comprises 206,067,110 Ordinary Shares of 10 pence each, of which 20,439,503 Ordinary Shares are held in Treasury. Therefore, the total number of voting rights in the Company is 185,627,607.
