Transfer of shares held in treasury

Micro Focus International plc announces that participants in the Company's employee share schemes have exercised options over 809 ordinary shares of 10 pence each at a price of 244.75 pence per share. These shares, all formerly held as treasury shares, were transferred to the participants on 28 December 2011.

Following the above transfer of shares out of treasury, the Company confirms that its issued share capital comprises 206,169,441 Ordinary Shares of 10 pence each, of which 20,370,143 Ordinary Shares are held in Treasury. Therefore, the total number of voting rights in the Company is 185,799,298.
