Transfer of shares held in treasury

Micro Focus International plc announces that participants in the Company's employee share schemes have exercised the following options over ordinary shares of 11 ⁴/₁₁ pence each:

7,332 options at a price of 265.75 pence per share;

7,187 options at a price of 244.75 pence per share; and

11,322 options at a price of 438.6 pence per share.

These shares, all formerly held as treasury shares, were transferred to the participants on 13 April 2012.

Following the above transfer of shares out of treasury, the Company confirms that its issued share capital comprises 181,548,371 Ordinary Shares of 11⁴/₁₁ pence each, of which 17,814,275 Ordinary Shares are held in Treasury. Therefore, the total number of voting rights in the Company is 163,734,096.
